Terms of Service

Effective Date: August 28, 2026

These Terms of Service (“Terms”) govern access to and use of the ChurchTrakr software platform, websites, applications, church portals, payment integrations, messaging services, and related services collectively referred to as the “Services.”

The Services are provided by ChurchTrakr LLC (“ChurchTrakr,” “we,” “us,” or “our”).

By creating an account, purchasing a subscription, connecting a payment account, accepting these Terms electronically, or accessing or using the Services on behalf of a church, ministry, nonprofit organization, or other entity, you:

  1. Agree to these Terms on behalf of that entity;
  2. Represent that you have authority to bind that entity to these Terms; and
  3. Agree that the entity will be referred to in these Terms as the “Customer.”

Individuals who access a ChurchTrakr-powered church portal as members, attendees, guests, donors, volunteers, parents, registrants, or other portal users may also be subject to the ChurchTrakr Portal Terms of Use and any terms, policies, or notices provided by the Customer operating that portal.

1. ChurchTrakr Services

ChurchTrakr provides cloud-based church management software designed to help churches and ministries manage their operations and relationships with members, attendees, guests, donors, volunteers, staff, families, children, and other individuals.

Depending upon the Customer’s subscription, configuration, and available features, ChurchTrakr may provide functionality including:

  • People, household, and family management;
  • Member, attendee, and guest records;
  • Email and SMS communications;
  • Giving and online giving;
  • Forms;
  • Check-in and attendance;
  • Groups and classes;
  • Volunteer management;
  • Worship services and events;
  • Service and event planning;
  • Workflows and automation;
  • Church member portals;
  • Church directories;
  • Reporting;
  • Subscription and add-on billing;
  • Payment-processing integrations; and
  • Third-party integrations.

ChurchTrakr may add, modify, replace, restrict, or discontinue features as the Services evolve.

The availability of a feature may depend upon the Customer’s subscription plan, account status, payment setup, geographic location, third-party provider requirements, or other eligibility conditions.

2. Eligibility, Authority, and United States Use

ChurchTrakr is intended for churches, ministries, nonprofit organizations, and other eligible entities located in the United States.

ChurchTrakr does not currently market or offer the Services to organizations located outside the United States.

A person creating or administering a Customer account must:

  • Be at least 18 years old;
  • Have legal authority to act for the Customer;
  • Provide accurate and complete information; and
  • Comply with laws and contractual requirements applicable to the Customer’s use of the Services.

ChurchTrakr may request information reasonably necessary to confirm the identity or authority of an account owner, administrator, payment representative, or other authorized individual.

3. Customer Accounts and Authorized Users

Customers must provide accurate, current, and complete information when creating and maintaining a ChurchTrakr account.

The Customer is responsible for:

  • Determining who is authorized to access its account;
  • Assigning appropriate roles and permissions;
  • Maintaining the confidentiality of usernames, passwords, and authentication information;
  • Removing access when it is no longer appropriate;
  • Maintaining accurate contact and billing information;
  • Reviewing activity conducted through its account;
  • Supervising its administrators, staff, volunteers, and other authorized users; and
  • All actions taken through Customer accounts, except to the extent directly caused by ChurchTrakr’s breach of these Terms.

The Customer must promptly notify ChurchTrakr if it believes an account, password, connected payment account, or other credential has been compromised or accessed without authorization.

ChurchTrakr may temporarily restrict access when reasonably necessary to protect an account, Customer Data, payment functionality, other users, or the Services.

ChurchTrakr personnel may access a Customer account when reasonably necessary to provide support, investigate a reported problem, protect the Services, prevent fraud or abuse, perform authorized administrative functions, or comply with law.

4. Customer Data

“Customer Data” means information submitted to, collected through, stored in, created through, or transmitted through ChurchTrakr by or on behalf of a Customer.

Customer Data may include information concerning:

  • Members;
  • Attendees;
  • Guests;
  • Donors;
  • Volunteers;
  • Staff;
  • Children;
  • Parents and guardians;
  • Families and households;
  • Groups and classes;
  • Events and registrations;
  • Attendance and check-in;
  • Communications;
  • Forms and responses;
  • Giving and transaction records;
  • Directory participation;
  • Notes;
  • Uploaded files; and
  • Other information the Customer chooses to maintain.

As between ChurchTrakr and the Customer, the Customer retains its rights in Customer Data.

The Customer grants ChurchTrakr a limited, nonexclusive right to host, store, copy, process, transmit, back up, display, secure, and otherwise handle Customer Data as reasonably necessary to:

  • Provide the Services;
  • Carry out Customer instructions;
  • Operate requested integrations;
  • Provide support;
  • Maintain security;
  • Prevent fraud or abuse;
  • Troubleshoot technical problems; and
  • Comply with applicable law.

ChurchTrakr does not acquire ownership of Customer Data merely because it is stored or processed through the Services.

The Customer is responsible for the legality, accuracy, quality, integrity, and appropriateness of Customer Data and for obtaining any authorization, permission, consent, or other legal basis required to collect, maintain, use, or disclose it.

5. Congregant, Member, and Donor Information

Customers may use ChurchTrakr to maintain information about their members, attendees, visitors, guests, donors, volunteers, children, families, staff, and other individuals.

The Customer generally determines:

  • Why this information is collected;
  • What information is maintained;
  • How it is used;
  • Who may access it;
  • How long it is retained;
  • What communications are sent;
  • Which portal features are enabled; and
  • Whether information is included in a church directory or other feature.

ChurchTrakr generally processes this information on behalf of the Customer.

The Customer is responsible for its relationship with these individuals and for complying with applicable privacy, communications, fundraising, charitable-solicitation, child-protection, recordkeeping, tax, and other legal requirements.

6. Information About Children

ChurchTrakr may be used by Customers to maintain information concerning children, including:

  • Household and family relationships;
  • Parent and guardian information;
  • Class participation;
  • Event participation;
  • Attendance;
  • Volunteer or activity records; and
  • Child check-in information.

ChurchTrakr is not intended for children under 13 to create or independently operate their own ChurchTrakr portal accounts.

Information concerning children under 13 should be submitted or managed by a parent or legal guardian or by authorized Customer personnel, as appropriate.

The Customer is responsible for determining what information it collects about children and for obtaining any parental or guardian authorization required by applicable law.

ChurchTrakr is not an emergency service, child-protection agency, medical-record system, or substitute for the Customer’s own child-safety procedures.

7. Church Portals and Customer Content

ChurchTrakr may allow a Customer to publish church portals, giving pages, registration pages, forms, event pages, group pages, directory information, announcements, and other Customer content.

The Customer is solely responsible for:

  • Content it publishes;
  • The accuracy of church, event, registration, giving, and contact information;
  • Descriptions of funds, campaigns, programs, events, products, or services;
  • Images, logos, music information, videos, and other materials it uploads;
  • Permissions needed to publish or use that content;
  • Prices, fees, refund policies, cancellation policies, and event terms;
  • Statements concerning tax deductibility or charitable treatment;
  • Responding to members, donors, registrants, and other portal users; and
  • Fulfilling any commitment made through its portal.

ChurchTrakr does not endorse, verify, guarantee, or assume responsibility for Customer content merely because it appears through the Services.

8. Acceptable Use

Customers and users may not use ChurchTrakr to:

  • Violate applicable law, regulation, court order, or governmental requirement;
  • Engage in fraudulent, deceptive, misleading, abusive, or unlawful activity;
  • Misrepresent an identity, organization, charitable status, campaign, event, or transaction;
  • Collect funds for unlawful, fraudulent, or unauthorized purposes;
  • Send unlawful, unsolicited, or unauthorized email or SMS communications;
  • Purchase, rent, scrape, or otherwise use contact lists for unauthorized communications;
  • Violate another person’s privacy, publicity, contractual, or intellectual-property rights;
  • Upload malware, harmful code, or content intended to damage or disrupt systems;
  • Attempt unauthorized access to accounts, systems, networks, payment accounts, or data;
  • Circumvent security, authentication, rate limits, usage limits, or access controls;
  • Test or probe system vulnerabilities without written authorization;
  • Interfere with the operation, security, availability, or integrity of the Services;
  • Use automated methods to scrape or extract information except through functionality expressly provided by ChurchTrakr;
  • Use the Services in connection with activity prohibited or restricted by Stripe, Twilio, a telecommunications carrier, or another applicable provider; or
  • Use the Services in a manner that creates unreasonable legal, financial, security, reputational, or operational risk.

ChurchTrakr may investigate suspected violations and may suspend, restrict, or terminate access for material violations of these requirements.

9. Email Communications

ChurchTrakr may enable Customers to send email communications to individuals maintained within their accounts.

The Customer is responsible for:

  • Having an appropriate basis for sending each communication;
  • Maintaining accurate recipient information;
  • Providing legally required sender identification;
  • Including unsubscribe options when required;
  • Honoring unsubscribe and preference requests;
  • Complying with applicable email laws; and
  • Ensuring message content is accurate and lawful.

ChurchTrakr may use Resend or another email-delivery provider to deliver email.

Email delivery cannot be guaranteed. Delivery may be affected by recipient systems, spam filters, Internet providers, incorrect addresses, third-party outages, reputation controls, or circumstances outside ChurchTrakr’s reasonable control.

10. SMS and Text Messaging

ChurchTrakr provides optional SMS and text-messaging functionality using Twilio or another telecommunications provider.

ChurchTrakr Customers may use dedicated toll-free telephone numbers to communicate with their members, attendees, guests, donors, volunteers, staff, parents, event registrants, and other individuals.

The church or organization identified in the message is the sender of the message. ChurchTrakr provides the software and telecommunications integration used by the church or organization to send and receive messages.

10.1 Types of Messages

Messages sent through ChurchTrakr may include:

  • Church announcements and updates;
  • Worship service and event information;
  • Class and group communications;
  • Volunteer schedules and reminders;
  • Registration confirmations;
  • Giving and transaction confirmations;
  • Ministry follow-up;
  • Care and prayer-related communications;
  • Account and portal notifications;
  • Security and verification messages; and
  • Other communications requested or authorized by the recipient.

SMS functionality is not intended for emergency, medical, life-safety, or time-critical communications.

10.2 Consent Requirements

Before sending a text message, the Customer must obtain legally sufficient consent from the recipient, including prior express written consent when required by applicable law.

Consent must be specific to the types of messages the Customer intends to send.

The Customer may not rely solely upon:

  • The fact that a person provided a telephone number;
  • A prior business, membership, donation, volunteer, employment, or ministry relationship;
  • A telephone number obtained from a public source;
  • A purchased, rented, or shared contact list;
  • Consent provided to another organization; or
  • A general consent that does not reasonably cover SMS communications.

The Customer must retain appropriate evidence of consent, including information reasonably sufficient to show:

  • Who provided consent;
  • The telephone number covered by the consent;
  • When consent was provided;
  • How consent was provided;
  • The disclosure presented when consent was provided; and
  • The type of messages authorized.

Where consent is obtained through a form or electronic interface, the consent selection must not be preselected.

Consent to receive text messages must not be required as a condition of:

  • Purchasing ChurchTrakr;
  • Purchasing another product or service;
  • Making a donation;
  • Registering for an event; or
  • Receiving services from a church or organization, except where a text message is reasonably necessary to provide a specific service requested by the recipient.

A recipient who provides a mobile telephone number represents that the number belongs to the recipient or that the recipient is authorized to provide consent for that number.

10.3 Recipient SMS Terms

By affirmatively opting in to receive text messages from a church or organization using ChurchTrakr, the recipient consents to receive recurring automated and non-automated text messages from that church or organization at the telephone number provided.

Message frequency varies depending upon:

  • The sending church or organization;
  • The recipient’s relationship with that organization;
  • Church activities;
  • Events and volunteer schedules;
  • Communication preferences; and
  • The programs in which the recipient participates.

Recipients may receive multiple messages per month.

Message and data rates may apply.

The recipient is responsible for message, data, or other charges imposed by the recipient’s wireless carrier.

10.4 Opting Out

Recipients may opt out of SMS messages at any time by replying STOP to the telephone number from which the message was received.

Other reasonable expressions of a desire to stop messages must also be honored as required by applicable law or provider rules.

After a recipient opts out, the recipient may receive one final message confirming that the opt-out request was received.

No additional SMS messages may be sent from the applicable sending number unless the recipient later provides new consent or otherwise opts in again.

An SMS opt-out applies to text messages from the applicable sending number. It does not necessarily:

  • Cancel a ChurchTrakr portal account;
  • Change email preferences;
  • Cancel an event registration;
  • Cancel a donation or recurring gift;
  • Prevent a church from contacting the recipient through another lawful and authorized method; or
  • Affect legally required or transaction-related communications delivered through another channel.

The Customer must promptly honor opt-out and consent-revocation requests.

10.5 Help and Customer Care

Recipients may reply HELP for assistance.

Recipients may also contact the church or organization that sent the message using contact information provided by that organization.

10.6 Delivery and Carrier Responsibility

Wireless carriers are not liable for delayed or undelivered messages.

SMS delivery is subject to:

  • Carrier availability;
  • Network conditions;
  • Telephone-number status;
  • Device compatibility;
  • Provider restrictions;
  • Spam and fraud controls;
  • Toll-free verification status;
  • Regulatory requirements; and
  • Circumstances outside ChurchTrakr’s reasonable control.

ChurchTrakr and its Customers do not guarantee that every message will be delivered or delivered by a particular time.

ChurchTrakr SMS functionality must not be relied upon as the sole method for delivering urgent, medical, life-safety, or emergency communications.

10.7 Mobile Information and Privacy

Mobile telephone information will not be sold or shared with third parties or affiliates for their independent marketing or promotional purposes.

SMS opt-in data and consent will not be sold or shared with third parties or affiliates for their independent marketing or promotional purposes.

Mobile information, message content, consent records, and related information may be provided to telecommunications carriers, aggregators, and technology service providers, including Twilio, solely as reasonably necessary to:

  • Deliver and receive messages;
  • Maintain telephone numbers;
  • Process opt-in and opt-out requests;
  • Provide customer support;
  • Prevent fraud, spam, and abuse;
  • Maintain security;
  • Complete toll-free verification;
  • Comply with carrier and regulatory requirements; and
  • Operate the requested messaging service.

10.8 Customer Messaging Responsibilities

Customers using ChurchTrakr SMS functionality are responsible for:

  • Obtaining legally sufficient consent before sending messages;
  • Ensuring consent covers the types of messages being sent;
  • Maintaining appropriate consent records;
  • Accurately identifying the sending church or organization;
  • Sending messages only to authorized recipients;
  • Providing legally required disclosures at the point of consent;
  • Honoring STOP, unsubscribe, revocation, and preference requests;
  • Providing a reasonable method for obtaining help;
  • Maintaining accurate recipient telephone numbers;
  • Avoiding prohibited, deceptive, abusive, or unlawful content;
  • Complying with applicable telecommunications and consumer-protection laws;
  • Complying with Twilio, carrier, and industry requirements;
  • Monitoring message complaints, failures, and opt-outs; and
  • Ensuring that any person uploading or importing telephone numbers is authorized to do so.

Customers may not:

  • Send messages to recipients who have opted out;
  • Send messages outside the scope of the consent obtained;
  • Attempt to bypass carrier filtering or compliance controls;
  • Use multiple numbers to avoid opt-outs or enforcement;
  • Engage in snowshoe messaging or similar evasion techniques;
  • Misrepresent the sender or purpose of a message; or
  • Use ChurchTrakr messaging for content or activity prohibited by Twilio or applicable carriers.

10.9 Toll-Free Verification

A toll-free number may be subject to verification before it can be used to send messages.

The Customer agrees to provide accurate and complete information requested for toll-free verification, which may include:

  • Legal organization name;
  • Organization type;
  • Business-registration or tax-identification information;
  • Organization address;
  • Website address;
  • Authorized representative information;
  • Messaging use case;
  • Estimated messaging volume;
  • Sample messages;
  • Opt-in procedures;
  • Screenshots or links showing the opt-in process;
  • Privacy Policy and Terms of Service links; and
  • Other information required by Twilio, carriers, verification providers, or regulatory authorities.

The Customer may not provide false, misleading, incomplete, or fabricated verification information.

Approval is determined by Twilio, carriers, verification providers, or applicable regulatory authorities. ChurchTrakr cannot guarantee that a toll-free verification request will be approved or approved by a particular date.

A number may remain restricted or unavailable until verification is approved.

10.10 Suspension of SMS Services

ChurchTrakr may suspend or restrict SMS functionality when reasonably necessary because of:

  • Suspected spam, fraud, or abuse;
  • Unlawful messaging;
  • Excessive complaints or opt-outs;
  • A high undeliverable-message rate;
  • Carrier restrictions;
  • Failed or incomplete toll-free verification;
  • Provider requirements;
  • Security concerns;
  • Prohibited content;
  • Inadequate consent records; or
  • Violation of these Terms.

ChurchTrakr is not obligated to override or circumvent a restriction imposed by Twilio or a telecommunications carrier.

11. Online Giving, ChurchTrakr Payments, and Stripe Connect

ChurchTrakr may enable Customers to accept donations, recurring gifts, registration fees, event payments, and other authorized transactions through Stripe Connect.

This Section applies to both ChurchTrakr Payments and Customer-managed Stripe configurations.

11.1 Roles of ChurchTrakr, Stripe, and the Customer

ChurchTrakr provides software that allows Customers to:

  • Create giving and payment pages;
  • Present Stripe-provided payment forms;
  • Initiate authorized payment requests through Stripe;
  • Create recurring-giving arrangements;
  • Receive payment-status notifications; and
  • Display resulting transaction records.

Stripe provides the underlying payment-processing, connected-account, verification, payout, and related financial technology.

ChurchTrakr is not:

  • A bank;
  • A financial institution;
  • A card network;
  • A money transmitter;
  • The holder or custodian of Customer payment proceeds;
  • The payment processor that receives complete card or bank credentials; or
  • The merchant of record for payments made to a Customer.

Unless ChurchTrakr expressly states otherwise for a particular transaction, Customer transactions are created directly on the Customer’s connected Stripe account.

The Customer is the merchant of record for transactions made through its connected Stripe account. For charitable gifts, the Customer is also the organization receiving the contribution.

The underlying transaction is between the payer or donor and the Customer.

ChurchTrakr is not the seller, donation recipient, event provider, or organization responsible for fulfilling the underlying transaction.

11.2 Payment Setup Options

ChurchTrakr currently offers two payment configurations.

ChurchTrakr Payments

ChurchTrakr Payments is the product name for a guided Stripe Connect setup.

Through this option, the Customer completes Stripe-hosted onboarding and establishes a connected Stripe account for the Customer.

ChurchTrakr Payments currently permits card-based payments within ChurchTrakr.

Depending upon support provided by Stripe and the payer’s card, browser, and device, card-based payment options may include:

  • Credit cards;
  • Debit cards;
  • Apple Pay; and
  • Google Pay.

ACH bank payments are not available through the ChurchTrakr Payments configuration.

The name “ChurchTrakr Payments” does not mean that ChurchTrakr:

  • Owns the Customer’s Stripe account;
  • Receives or holds the Customer’s funds;
  • Stores complete payment credentials; or
  • Becomes the merchant of record.

Customer-Managed Stripe

A Customer that wants to use its own Stripe configuration may:

  • Connect an existing Stripe account to ChurchTrakr; or
  • Create a new Stripe account through Stripe-hosted onboarding launched from ChurchTrakr.

The Customer manages its relationship with Stripe and may separately enable eligible payment methods in its Stripe account.

After completing any required acknowledgment in ChurchTrakr, an eligible Customer-managed Stripe account may permit ACH bank payments.

ACH may be limited to eligible one-time transactions.

Recurring gifts through ChurchTrakr currently use card-based payment methods.

The payment methods actually displayed by ChurchTrakr or Stripe at checkout control if they differ from this general description.

11.3 Stripe Agreements

Payment-processing services made available through ChurchTrakr are provided by Stripe and are subject to the Stripe Connected Account Agreement, which incorporates the applicable Stripe Services Agreement.

By enabling or continuing to use payment-processing functionality through ChurchTrakr, the Customer acknowledges and agrees that its use of Stripe is governed by the applicable Stripe agreements, including modifications made by Stripe from time to time.

As a condition of using payment processing through ChurchTrakr, the Customer agrees to:

  • Provide ChurchTrakr and Stripe with accurate and complete information concerning the Customer, its organization, its representatives, and its activities;
  • Keep that information current;
  • Complete Stripe’s onboarding and verification requirements;
  • Comply with Stripe’s terms, policies, prohibited-business rules, and payment requirements; and
  • Authorize ChurchTrakr to provide Stripe with Customer and transaction information reasonably necessary to establish and operate the Stripe Connect relationship.

11.4 Stripe Account Onboarding and Verification

Stripe may require information concerning the Customer and its owners, officers, directors, representatives, or other associated individuals.

Stripe may collect information including:

  • Legal and business names;
  • Business and mailing addresses;
  • Telephone numbers;
  • Email addresses;
  • Tax-identification information;
  • Organization and registration information;
  • Ownership and control information;
  • Dates of birth;
  • Government-issued identification;
  • Identity-verification documents;
  • Payout bank-account information; and
  • Other information required for underwriting, fraud prevention, regulatory compliance, or payment processing.

This information is generally entered into Stripe-hosted or Stripe-provided onboarding interfaces and submitted directly to Stripe.

The Customer authorizes ChurchTrakr to receive and display information made available through Stripe Connect, including:

  • Connected-account identifiers;
  • Account status;
  • Onboarding status;
  • Verification requirements;
  • Payment capabilities;
  • Charges-enabled status;
  • Payouts-enabled status;
  • Business name;
  • Account contact information; and
  • Other information necessary to operate or support the connection.

The Customer is responsible for ensuring that individuals whose information is provided to Stripe are authorized to act for the Customer.

11.5 Payment Credentials and Transaction Information

Payment forms presented through ChurchTrakr use Stripe-provided payment components.

Payment credentials entered into Stripe-provided fields are transmitted directly to and processed by Stripe.

ChurchTrakr does not receive or store:

  • Complete card numbers;
  • Card security or verification codes;
  • Complete bank-account numbers;
  • Bank-routing numbers;
  • Online-banking usernames or passwords;
  • Stripe account passwords; or
  • Customer Stripe secret API keys.

ChurchTrakr receives and retains transaction information needed to display and manage payments within the ChurchTrakr platform.

This information may include:

  • Donor or payer name;
  • Email address;
  • Telephone number;
  • Mailing or billing address;
  • Transaction amount;
  • Transaction date;
  • Fund or designation;
  • Event or registration purpose;
  • One-time or recurring status;
  • Recurring frequency;
  • Payment-method category;
  • Payment status;
  • Refund status;
  • Dispute or chargeback status;
  • Payout or settlement status;
  • Processor fees;
  • Net amount;
  • Stripe customer identifiers;
  • Stripe Payment Intent identifiers;
  • Stripe charge identifiers;
  • Stripe invoice identifiers;
  • Stripe subscription identifiers;
  • Refund and dispute identifiers;
  • Receipt information;
  • Failure information; and
  • Related transaction notes and accounting information.

ChurchTrakr may receive limited payment-method information made available by Stripe, such as a card brand or masked payment-method description.

ChurchTrakr does not receive or store the complete card or bank credentials necessary to independently access or charge the payment account.

11.6 Transaction Records

ChurchTrakr transaction records are provided for convenience, reporting, and operational use.

Stripe’s records and the records of applicable banks and payment networks control with respect to actual:

  • Authorization;
  • Processing;
  • Settlement;
  • Payout;
  • Refund;
  • Return;
  • Dispute;
  • Reversal; and
  • Chargeback status.

Transaction information displayed in ChurchTrakr may be delayed, incomplete, or temporarily inconsistent with Stripe because of:

  • Webhook delays;
  • Provider outages;
  • Pending bank transactions;
  • Delayed settlement;
  • Data-synchronization issues; or
  • Other circumstances outside ChurchTrakr’s reasonable control.

The Customer is responsible for reconciling ChurchTrakr transaction records with its Stripe and bank records.

11.7 Authorization to Operate the Stripe Integration

By connecting a Stripe account or enabling ChurchTrakr Payments, the Customer authorizes ChurchTrakr to use the Stripe Connect relationship as reasonably necessary to provide the requested payment functionality.

This authorization may include permission to:

  • Identify and retrieve the connected Stripe account;
  • Determine onboarding and verification status;
  • Create Stripe customers associated with portal users or recurring payers;
  • Create Payment Intents;
  • Create prices or subscriptions for recurring gifts;
  • Initiate authorized payment requests;
  • Receive and process Stripe webhook events;
  • Retrieve transaction status;
  • Record successful, processing, failed, refunded, or disputed transactions;
  • Display transaction information;
  • Support refunds where functionality is provided;
  • Reconcile ChurchTrakr records with Stripe information; and
  • Diagnose or support payment-related issues.

ChurchTrakr will not use the connection to initiate transactions unrelated to functionality authorized by the Customer or payer.

11.8 Payment Proceeds and Payouts

Payment proceeds are processed through the Customer’s connected Stripe account.

ChurchTrakr does not take possession or custody of the Customer’s payment proceeds.

Stripe may deduct applicable:

  • Processing fees;
  • Refunds;
  • Disputes;
  • Chargebacks;
  • Reversals;
  • Reserves;
  • Adjustments; or
  • Other amounts permitted under the Customer’s Stripe agreements.

Stripe controls payout timing, eligibility, holds, reserves, verification requirements, and settlement procedures.

ChurchTrakr does not guarantee:

  • That a transaction will be approved;
  • That funds will settle;
  • That a payout will occur by a particular date;
  • That Stripe will approve or maintain a Customer account;
  • That a payment will not later be refunded, reversed, disputed, charged back, or returned; or
  • That Stripe will make any particular payment method available.

11.9 Fees

The Customer is responsible for fees charged by Stripe in connection with its connected Stripe account and payment activity.

Stripe fees are determined and collected by Stripe under the applicable Stripe agreements.

ChurchTrakr subscription fees, add-on fees, usage fees, and any separately disclosed platform or payment-related fees are independent of Stripe’s processing fees.

Any ChurchTrakr fee that applies specifically to payment-processing functionality will be disclosed through the Services or applicable pricing information before it becomes effective.

The Customer is responsible for reviewing applicable ChurchTrakr and Stripe pricing.

11.10 Customer Payment Responsibilities

The Customer is responsible for:

  • The legality and accuracy of each payment request;
  • Identifying itself to donors and payers;
  • Describing the purpose of each donation or payment;
  • Ensuring that funds and designations are used appropriately;
  • Providing required receipts, confirmations, and acknowledgments;
  • Determining whether a contribution is tax deductible;
  • Maintaining required charitable registrations;
  • Complying with fundraising and charitable-solicitation laws;
  • Establishing refund and cancellation policies;
  • Responding to donor and payer questions;
  • Providing the event, program, benefit, product, or service associated with a payment;
  • Maintaining accurate Stripe account information;
  • Monitoring Stripe notices and account requirements;
  • Managing negative balances, disputes, returns, and other payment obligations;
  • Complying with card-network and bank-payment rules; and
  • Complying with the Customer’s Stripe agreements.

ChurchTrakr does not provide legal, tax, accounting, charitable-registration, banking, or financial advice.

11.11 Recurring Gifts and Payments

ChurchTrakr may allow a payer to authorize recurring card-based gifts or payments.

The Customer authorizes ChurchTrakr to create and maintain the corresponding Stripe customer, price, subscription, schedule, or related payment object in the Customer’s connected Stripe account.

The Customer is responsible for:

  • Clearly describing the amount and frequency of the recurring transaction;
  • Obtaining legally sufficient authorization;
  • Providing legally required notices;
  • Responding to cancellation requests;
  • Managing changes to recurring amounts or schedules;
  • Handling failed recurring payments; and
  • Canceling recurring transactions when required.

A recurring transaction may continue in Stripe until the applicable Stripe subscription or schedule is canceled.

Disabling online giving, disconnecting Stripe from ChurchTrakr, closing a ChurchTrakr account, or changing payment configurations does not necessarily cancel existing recurring transactions within Stripe.

The Customer must review and, where appropriate, cancel or manage existing recurring transactions directly through its Stripe account.

11.12 ACH Bank Payments

ACH bank payments are available only through an eligible Customer-managed Stripe account when the Customer enables that functionality and completes any acknowledgment required by ChurchTrakr.

ACH is not available through the ChurchTrakr Payments configuration.

Stripe may collect bank information and obtain payment authorization using a Stripe-hosted or Stripe-provided interface.

ChurchTrakr does not receive or store complete bank-account numbers, bank-routing numbers, or online-banking credentials.

The Customer understands and agrees that:

  • ACH payments may take several business days to process;
  • A payment may appear to be processing or successful before final settlement;
  • A bank payment may later be returned, reversed, disputed, or rejected;
  • Bank-account verification may be required;
  • Stripe and applicable bank networks determine ACH eligibility and timing;
  • The Customer is responsible for ACH returns, disputes, refunds, fees, and compliance; and
  • The Customer must ensure that required ACH authorization and notices are provided.

ChurchTrakr may display ACH transaction status but does not guarantee settlement or assume the Customer’s ACH obligations.

11.13 Refunds

The Customer is responsible for establishing and communicating its refund policies.

Refund requests should generally be directed to the Customer that received the transaction.

ChurchTrakr may provide functionality that allows authorized Customer users to initiate or record a refund through Stripe, but ChurchTrakr:

  • Does not determine whether a refund is owed;
  • Does not guarantee that Stripe will complete a refund;
  • Is not responsible for insufficient Stripe account balances;
  • Is not responsible for Stripe fees that are not returned; and
  • Is not responsible for delays caused by Stripe, banks, or card networks.

The Customer is responsible for ensuring that refunds are authorized and accurate.

11.14 Disputes, Chargebacks, and Bank Returns

The Customer is responsible for disputes, chargebacks, reversals, ACH returns, and related claims concerning transactions made to the Customer.

The Customer must monitor its Stripe account and respond to Stripe requests within applicable deadlines.

ChurchTrakr may receive and display notice that a transaction has been disputed, charged back, returned, refunded, or reversed.

This does not mean ChurchTrakr has assumed responsibility for responding to or resolving the matter.

Stripe, the applicable bank, or the applicable payment network determines the outcome of a dispute or return.

ChurchTrakr is not liable for:

  • Disputed transaction amounts;
  • Chargeback or dispute fees;
  • ACH return fees;
  • Reversed payouts;
  • Negative Stripe account balances;
  • Funds withheld by Stripe;
  • Lost evidence-submission deadlines; or
  • Decisions made by Stripe, a bank, or a payment network.

11.15 Fraud Prevention and Payment Restrictions

Stripe may apply fraud-prevention, identity-verification, underwriting, reserve, risk, and security controls to Customer accounts and payment transactions.

ChurchTrakr may also restrict or suspend online giving when reasonably necessary because of:

  • Suspected fraud or abuse;
  • A security incident;
  • A Stripe restriction;
  • Incomplete onboarding or verification;
  • Disabled payment or payout capabilities;
  • An inactive or unpaid ChurchTrakr subscription;
  • A legal or regulatory concern;
  • A Customer request;
  • Excessive disputes, returns, or suspicious activity; or
  • Risk to ChurchTrakr, Stripe, Customers, donors, or other users.

ChurchTrakr is not obligated to override or circumvent a Stripe restriction.

11.16 Disconnecting Stripe

A Customer may disconnect its Stripe account through available ChurchTrakr or Stripe functionality.

Disconnecting a Stripe account may:

  • Disable new online transactions through ChurchTrakr;
  • Disable ACH functionality;
  • Prevent ChurchTrakr from receiving future transaction updates;
  • Prevent ChurchTrakr from making new authorized API requests; and
  • Require a new onboarding or authorization process before payments can be enabled again.

Disconnecting does not automatically:

  • Close the Customer’s Stripe account;
  • Cancel existing recurring Stripe subscriptions;
  • Refund prior transactions;
  • Resolve disputes or bank returns;
  • Delete records maintained by Stripe;
  • Delete giving or transaction records maintained in ChurchTrakr; or
  • Eliminate payment, accounting, tax, refund, or recordkeeping obligations.

The Customer is responsible for managing its Stripe account and existing recurring transactions after disconnection.

11.17 Stripe Privacy Practices

Stripe independently collects and processes personal, business, identity, financial, payment, transaction, device, fraud-prevention, and compliance information.

Stripe’s processing is governed by Stripe’s own privacy policy and agreements.

ChurchTrakr is not responsible for Stripe’s independent privacy, security, data-retention, underwriting, fraud-prevention, or compliance decisions.

12. Charitable, Tax, and Accounting Responsibilities

ChurchTrakr provides recordkeeping and payment-integration tools but does not determine:

  • Whether a Customer qualifies as a tax-exempt organization;
  • Whether a contribution is tax deductible;
  • Whether a donor received goods or services in exchange for a payment;
  • The fair market value of a benefit;
  • Whether a receipt satisfies tax requirements;
  • Whether a Customer must register to solicit contributions;
  • How a restricted gift must be used;
  • How a transaction should be recorded for accounting purposes; or
  • Whether a payment is subject to tax.

The Customer is responsible for obtaining its own legal, tax, accounting, and financial advice.

Any giving statement, receipt, report, or accounting record generated through ChurchTrakr must be reviewed by the Customer for accuracy and legal sufficiency.

13. Third-Party Services

ChurchTrakr may integrate with or rely upon third-party services such as:

  • Stripe;
  • Twilio;
  • Resend;
  • Intuit QuickBooks Online;
  • Cloud-hosting providers;
  • Database providers;
  • Authentication providers;
  • Monitoring and security providers; and
  • Other technology or service providers.

When a Customer enables or uses an integration, the Customer authorizes ChurchTrakr to transmit, receive, access, or process information reasonably necessary to provide the requested functionality.

Third-party services are governed by their own terms, policies, eligibility requirements, pricing, and availability.

ChurchTrakr is not responsible for the independent acts, omissions, security practices, availability, suspension decisions, pricing changes, or operation of third-party providers.

ChurchTrakr may change providers or discontinue an integration when reasonably necessary.

14. Intuit and QuickBooks Online

ChurchTrakr may provide an optional integration with Intuit QuickBooks Online.

When a Customer connects QuickBooks Online, the Customer authorizes ChurchTrakr to exchange information with Intuit within the permissions granted by the Customer.

ChurchTrakr may use the integration to transmit or synchronize authorized information such as:

  • Giving batches;
  • Deposit information;
  • Processing fees;
  • Funds or accounts;
  • Transaction summaries;
  • Payout information; and
  • Other accounting information selected by the Customer.

The Customer is responsible for:

  • Reviewing information before and after synchronization;
  • Selecting appropriate accounts and mappings;
  • Preventing duplicate entries;
  • Reconciling ChurchTrakr, Stripe, bank, and QuickBooks records; and
  • Determining appropriate accounting treatment.

ChurchTrakr does not guarantee that information transferred to QuickBooks will be complete, error free, or appropriate for the Customer’s accounting needs.

Customers may disconnect the integration through available ChurchTrakr or Intuit controls.

Use of QuickBooks Online remains subject to applicable Intuit terms.

15. ChurchTrakr Subscription and Billing

Paid ChurchTrakr subscriptions are billed according to the plan selected by the Customer.

Subscription prices, included usage, limits, add-ons, and applicable charges will be disclosed through ChurchTrakr or during signup.

Unless otherwise stated, subscriptions automatically renew until canceled.

The Customer authorizes ChurchTrakr and Stripe to charge the payment method associated with the Customer’s ChurchTrakr billing account for:

  • Recurring subscription fees;
  • Add-on fees;
  • Usage charges;
  • Purchased message credits;
  • Applicable taxes; and
  • Other charges expressly authorized by the Customer.

Stripe processes the Customer’s subscription-payment credentials.

ChurchTrakr does not receive or store complete card numbers or card security codes for Customer subscription billing.

ChurchTrakr may receive and retain transaction and limited billing information such as:

  • Stripe customer identifiers;
  • Payment-method identifiers;
  • Card brand;
  • Masked payment-method information;
  • Invoice information;
  • Payment status;
  • Subscription status;
  • Receipt links; and
  • Failure information.

The Customer is responsible for keeping its payment method and billing information current.

ChurchTrakr may retry failed charges and may restrict or suspend paid functionality if payment is overdue.

ChurchTrakr may change subscription pricing upon reasonable notice. Pricing changes will generally apply to a future billing period.

16. SMS and Other Add-On Services

Certain features, including SMS messaging, telephone numbers, message-credit packages, additional storage, or other functionality, may be offered as separately priced add-ons.

Applicable information may include:

  • Monthly price;
  • Included usage;
  • Message credits;
  • Telephone-number availability;
  • Usage limits;
  • Overage or reload charges;
  • Expiration rules;
  • Carrier requirements; and
  • Other conditions.

These terms will be disclosed when the Customer purchases or configures the add-on.

Third-party carrier or provider requirements may affect availability, pricing, deliverability, and continued use.

Unless expressly stated otherwise, unused add-on capacity or message credits have no cash value and are not transferable between Customers.

17. Trials, Promotions, and Promotional Codes

ChurchTrakr may offer trials, discounts, promotional pricing, credits, or promotional codes.

Additional conditions may apply to a particular promotion.

ChurchTrakr may restrict a promotion to eligible new or existing Customers and may refuse or revoke a promotion obtained through fraud, abuse, duplicate accounts, misrepresentation, or violation of promotional terms.

When a trial ends, paid functionality may require the Customer to select a subscription and provide a valid payment method.

18. Cancellation and Refunds of ChurchTrakr Fees

Customers may cancel their ChurchTrakr subscription through available account and billing functionality or by contacting ChurchTrakr.

Unless otherwise stated:

  • Cancellation stops future automatic renewals;
  • Cancellation takes effect at the end of the applicable paid billing period;
  • The Customer retains access through the end of that period;
  • Partial billing periods are not prorated; and
  • Amounts already paid to ChurchTrakr are non-refundable except where required by law or expressly agreed by ChurchTrakr.

Canceling a ChurchTrakr subscription does not automatically:

  • Close a connected Stripe account;
  • Cancel recurring donor payments in Stripe;
  • Refund donations or other Customer transactions;
  • Cancel third-party subscriptions;
  • Remove Customer obligations to donors, payers, Stripe, carriers, or other providers; or
  • Delete Customer Data immediately.

19. Suspension and Termination

ChurchTrakr may suspend or terminate all or part of a Customer’s access when reasonably necessary because of:

  • Material violation of these Terms;
  • Nonpayment;
  • Suspected fraud, abuse, or unlawful activity;
  • Security risk;
  • Harm to the Services or other users;
  • A third-party provider requirement;
  • A governmental or legal requirement;
  • Misrepresentation concerning the Customer or its activities;
  • Excessive operational or financial risk; or
  • Discontinuation of the Services.

Where reasonably practical, ChurchTrakr will provide notice and an opportunity to address the issue before termination.

Immediate suspension may occur when necessary to protect people, information, funds, systems, or legal interests.

The Customer may terminate its account by canceling its subscription and following available account-closure procedures.

Sections that by their nature should survive termination will remain effective, including provisions concerning payment obligations, Customer Data, intellectual property, disclaimers, limitations of liability, indemnification, disputes, and general legal terms.

20. Data Export and Account Closure

Customers should export information they wish to retain before closing or terminating their ChurchTrakr account.

ChurchTrakr may provide export functionality for certain types of Customer Data but does not guarantee that every feature, relationship, format, attachment, configuration, automation, or third-party record can be exported.

Following account termination, ChurchTrakr may retain Customer Data for a limited period for:

  • Account recovery;
  • Backup processing;
  • Security;
  • Fraud prevention;
  • Financial recordkeeping;
  • Payment reconciliation;
  • Refunds and disputes;
  • Legal compliance;
  • Enforcement of agreements; and
  • Operational purposes.

Data may subsequently be deleted or anonymized in accordance with ChurchTrakr’s retention practices.

Certain records may be retained longer when required or permitted by law or reasonably necessary to establish, exercise, or defend legal rights.

Deleting a ChurchTrakr account does not delete information independently maintained by Stripe, Twilio, Resend, Intuit, banks, carriers, or other third parties.

21. Intellectual Property

ChurchTrakr and its licensors retain all rights, title, and interest in the Services, including:

  • Software;
  • Source code and object code;
  • Interfaces;
  • Designs;
  • Databases and data structures;
  • Workflows;
  • Documentation;
  • Trademarks;
  • Logos;
  • Product names;
  • Service names; and
  • Related technology.

These Terms do not transfer ownership of ChurchTrakr intellectual property to the Customer.

Subject to these Terms and payment of applicable fees, ChurchTrakr grants the Customer a limited, nonexclusive, nontransferable, revocable right to access and use the Services for the Customer’s internal church, ministry, nonprofit, or organizational purposes.

The Customer may not:

  • Copy or reproduce the Services except as expressly permitted;
  • Sell, sublicense, rent, lease, or commercially redistribute the Services;
  • Reverse engineer or attempt to derive source code except where applicable law prohibits the restriction;
  • Remove proprietary notices;
  • Use ChurchTrakr trademarks without permission; or
  • Create a competing product by systematically copying the Services.

Customers retain their rights in Customer Data and Customer-owned names, logos, and content.

22. Feedback and Service Improvement

A Customer may provide suggestions, ideas, comments, or feedback concerning ChurchTrakr.

The Customer grants ChurchTrakr permission to use that feedback without restriction or compensation, provided ChurchTrakr does not publicly identify the Customer as the source without permission.

ChurchTrakr may use aggregated or de-identified information concerning use of the Services to operate, analyze, secure, and improve ChurchTrakr, provided that the information does not reasonably identify the Customer or an individual.

23. Security

ChurchTrakr uses reasonable administrative, technical, and organizational measures intended to protect the Services and information processed through them.

These measures may include:

  • Authentication;
  • Role-based permissions;
  • Encryption in transit;
  • Infrastructure controls;
  • Monitoring;
  • Logging;
  • Backups;
  • Webhook-signature verification; and
  • Security procedures appropriate to the Services.

No Internet-connected service can guarantee absolute security.

The Customer is responsible for:

  • Secure passwords;
  • Appropriate account permissions;
  • Securing computers and mobile devices;
  • Removing access for former staff and volunteers;
  • Reviewing account access;
  • Protecting connected Stripe and other third-party accounts;
  • Maintaining internal privacy and security procedures; and
  • Promptly reporting suspected compromise.

24. Service Availability and Changes

ChurchTrakr works to maintain reliable Services but does not guarantee uninterrupted, timely, secure, or error-free operation.

The Services may be unavailable or impaired because of:

  • Maintenance;
  • Upgrades;
  • Software defects;
  • Security events;
  • Internet failures;
  • Telecommunications failures;
  • Power failures;
  • Cloud-provider outages;
  • Stripe, Twilio, Resend, Intuit, or other provider outages;
  • Carrier restrictions;
  • Banking or payment-network issues;
  • Governmental actions;
  • Natural disasters; or
  • Other circumstances outside ChurchTrakr’s reasonable control.

ChurchTrakr may modify the Services to improve functionality, security, compliance, performance, or usability.

ChurchTrakr may discontinue a feature or integration. When a change materially reduces core paid functionality, ChurchTrakr will make reasonable efforts to provide advance notice when practical.

25. Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

CHURCHTRAKR DISCLAIMS ALL WARRANTIES NOT EXPRESSLY PROVIDED IN THESE TERMS, INCLUDING IMPLIED WARRANTIES OF:

  • MERCHANTABILITY;
  • FITNESS FOR A PARTICULAR PURPOSE;
  • TITLE;
  • NON-INFRINGEMENT;
  • ACCURACY;
  • AVAILABILITY; AND
  • QUIET ENJOYMENT.

CHURCHTRAKR DOES NOT WARRANT THAT:

  • THE SERVICES WILL BE UNINTERRUPTED OR ERROR FREE;
  • EVERY DEFECT WILL BE CORRECTED;
  • DATA WILL NEVER BE LOST;
  • COMMUNICATIONS WILL ALWAYS BE DELIVERED;
  • A PAYMENT WILL BE APPROVED OR SETTLED;
  • A STRIPE ACCOUNT WILL BE APPROVED OR REMAIN AVAILABLE;
  • A TOLL-FREE NUMBER WILL BE APPROVED FOR MESSAGING;
  • A DONATION WILL BE TAX DEDUCTIBLE;
  • REPORTS WILL SATISFY LEGAL, TAX, OR ACCOUNTING REQUIREMENTS; OR
  • THIRD-PARTY SERVICES WILL REMAIN AVAILABLE.

26. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, CHURCHTRAKR WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES.

THIS EXCLUSION INCLUDES DAMAGES FOR:

  • LOST PROFITS;
  • LOST REVENUE;
  • LOST DONATIONS;
  • LOST GOODWILL;
  • LOST BUSINESS OPPORTUNITY;
  • LOSS OR CORRUPTION OF DATA;
  • SERVICE INTERRUPTION;
  • FAILED OR DELAYED COMMUNICATIONS;
  • SMS DELIVERY FAILURES;
  • CARRIER FILTERING;
  • FAILED TOLL-FREE VERIFICATION;
  • FAILED, DELAYED, RETURNED, OR DISPUTED PAYMENTS;
  • STRIPE ACCOUNT RESTRICTIONS;
  • CHARGEBACKS;
  • ACH RETURNS;
  • PAYMENT-PROCESSING FEES;
  • THIRD-PARTY PROVIDER ACTIONS; OR
  • COSTS OF SUBSTITUTE SERVICES.

TO THE FULLEST EXTENT PERMITTED BY LAW, CHURCHTRAKR’S TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE AMOUNTS PAID BY THE APPLICABLE CUSTOMER TO CHURCHTRAKR DURING THE 12 MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

AMOUNTS PROCESSED THROUGH A CUSTOMER’S STRIPE ACCOUNT ARE NOT AMOUNTS PAID TO CHURCHTRAKR FOR PURPOSES OF THIS LIABILITY LIMIT.

Some jurisdictions do not permit certain exclusions or limitations, so some provisions may not apply in every circumstance.

Nothing in these Terms limits liability that cannot legally be limited.

27. Indemnification

To the extent permitted by law, the Customer agrees to defend, indemnify, and hold harmless ChurchTrakr and its officers, directors, employees, contractors, agents, affiliates, and service providers from third-party claims, demands, proceedings, liabilities, damages, judgments, penalties, losses, and reasonable expenses arising from or relating to:

  • The Customer’s use of the Services;
  • Customer Data;
  • Customer content;
  • The Customer’s collection, use, disclosure, or retention of personal information;
  • Communications sent by the Customer;
  • SMS consent, opt-out, or messaging practices;
  • The Customer’s violation of privacy, email, SMS, telecommunications, child-protection, fundraising, tax, or other laws;
  • A donation, registration, event, product, service, or other transaction involving the Customer;
  • A refund, dispute, chargeback, ACH return, recurring payment, or donor complaint;
  • A statement concerning charitable status or tax deductibility;
  • The Customer’s Stripe account or violation of a Stripe agreement;
  • Infringement caused by Customer content;
  • Fraudulent, misleading, or unlawful Customer activity; or
  • The Customer’s material violation of these Terms.

ChurchTrakr will provide reasonable notice of an indemnified claim and may participate in its defense.

The Customer may not settle a claim in a manner that admits fault by or imposes an obligation upon ChurchTrakr without ChurchTrakr’s written consent.

28. Changes to These Terms

ChurchTrakr may update these Terms to reflect changes in:

  • The Services;
  • Payment arrangements;
  • Messaging requirements;
  • Third-party providers;
  • Business practices;
  • Technology;
  • Security requirements;
  • Stripe, Twilio, carrier, or payment-network requirements; or
  • Applicable law.

When ChurchTrakr updates these Terms, the effective date at the top will be revised.

Material changes may be communicated through the Services, the ChurchTrakr website, email, an account notice, or another reasonable method.

Continued use of the Services after updated Terms become effective constitutes acceptance of the updated Terms, except where applicable law requires another form of consent.

Changes to Stripe’s or Twilio’s agreements and policies are governed by those providers’ procedures and terms.

29. Governing Law and Venue

These Terms are governed by the laws of the State of Georgia, without regard to conflict-of-law principles.

Any legal action arising from or relating to these Terms or the Services must be brought in an appropriate state or federal court located in Georgia, except where applicable law requires otherwise.

The parties consent to the personal jurisdiction of those courts.

Before filing a legal action, the parties agree to make a reasonable good-faith effort to resolve the dispute through direct communication.

30. General Legal Terms

Entire Agreement

These Terms, together with applicable order forms, pricing terms, add-on terms, and policies expressly incorporated by reference, constitute the entire agreement between ChurchTrakr and the Customer concerning the Services.

Order of Precedence

If a signed written agreement between ChurchTrakr and the Customer expressly conflicts with these Terms, the signed written agreement controls to the extent of the conflict.

Assignment

The Customer may not assign these Terms without ChurchTrakr’s prior written consent.

ChurchTrakr may assign these Terms in connection with a merger, acquisition, financing, corporate reorganization, sale of assets, or transfer of the Services.

Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in effect.

The invalid provision will be modified to the minimum extent necessary to make it enforceable where legally permitted.

Waiver

A failure to enforce a provision of these Terms is not a waiver of the right to enforce it later.

A waiver must be in writing and signed by the party granting it.

No Agency

Except for the limited authorization necessary for ChurchTrakr to operate requested integrations, these Terms do not create a partnership, joint venture, employment relationship, fiduciary relationship, franchise, or general agency relationship between ChurchTrakr and the Customer.

ChurchTrakr is not the Customer’s agent for determining charitable, tax, legal, accounting, ministry, or pastoral matters.

Force Majeure

ChurchTrakr is not responsible for delay or failure caused by circumstances beyond its reasonable control, including natural disasters, war, terrorism, labor disputes, governmental actions, Internet outages, telecommunications failures, cloud-provider outages, payment-network failures, carrier restrictions, or third-party provider interruptions.

Electronic Communications

The Customer agrees that ChurchTrakr may provide agreements, notices, invoices, disclosures, and other communications electronically through email, the Services, or the ChurchTrakr website.

The Customer is responsible for maintaining a current email address.
